1.1 本服務條款（「條款」）由 Nomadivity Limited 遊思創見科技有限公司（「Memberrr」、「我們」）與使用 memberrr.com 及相關服務（「服務」）的商戶（「你」）共同訂立。
These Terms and Conditions ("Terms") are entered into between Nomadivity Limited 遊思創見科技有限公司 ("Memberrr", "we", "us") and the merchant ("you") using memberrr.com and related services ("Service").
1.2 使用或存取本服務，即表示你同意受本條款約束。如不同意，請勿使用本服務。
By using or accessing the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1.3 本條款受香港法律管轄。
These Terms are governed by the laws of Hong Kong.
2.1 Memberrr 是一款雲端會員管理系統，供香港獨立商戶管理會員資料、套票及儲值帳戶。
Memberrr is a cloud-based membership management system, designed for independent merchants in Hong Kong to manage member records, session packages, and stored value accounts.
2.2 本服務採用託管模式（Managed Service）。Nomadivity 負責系統設置、技術維護及支援；商戶的會員資料儲存於 Nomadivity 使用的 Cloudflare D1 雲端資料庫，並以租戶識別碼（tenant ID）與其他商戶邏輯隔離，商戶可隨時將資料匯出為 CSV。如商戶選用自托管專屬版，會員資料則改為儲存於商戶自有的 Google Drive，由商戶全權管理。
The Service operates as a Managed Service. Nomadivity handles system setup, technical maintenance, and support. Member data is stored in the Cloudflare D1 cloud database operated by Nomadivity, logically isolated from other merchants by a tenant identifier, and may be exported by the merchant as CSV at any time. Where a merchant opts for the self-hosted edition, member data is instead stored in the merchant's own Google Drive under the merchant's full control.
2.3 服務功能及介面可能因應系統更新而有所調整，恕不另行通知。
Service features and interfaces may be updated from time to time without prior notice.
3.1 商戶須提供準確的聯絡資料及業務資訊，以便 Nomadivity 完成系統設置。
Merchants must provide accurate contact and business information to enable Nomadivity to complete the system setup.
3.2 商戶須妥善保管其 Admin 登入憑據（包括 PIN 碼），並對所有使用該憑據的操作負責。
Merchants are responsible for keeping their Admin credentials (including PIN) secure and for all actions carried out using those credentials.
3.3 如懷疑帳戶遭未授權存取，請立即通知 Nomadivity（hello@memberrr.com）。
If you suspect unauthorised access to your account, please notify Nomadivity immediately at hello@memberrr.com.
4.1 正式月費：本服務正式訂閱月費為 HKD 298／月，費用以雙方確認為準。
Regular monthly fee: The standard monthly subscription fee is HKD 298 per month, subject to confirmation between both parties.
4.2 創始商戶計劃（限首20個商戶）：商戶以 HKD 99 一次性付款使用服務兩個月。付款可使用香港轉數快（FPS）、Visa 或 Mastercard；使用 FPS 毋須提供或綁定信用卡。HKD 99 付款不設自動續訂，亦不構成任何日後自動扣款授權。創始商戶計劃名額有限，先到先得，額滿即止。
Founding Merchant Plan (limited to the first 20 merchants): Merchants receive two months of access for a one-off payment of HKD 99. Payment may be made by Hong Kong FPS, Visa or Mastercard; no credit card is required or linked when FPS is used. The HKD 99 payment does not auto-renew and does not authorise any future automatic charge. This plan is available on a first-come, first-served basis and is subject to availability.
4.3 創始商戶計劃兩個月屆滿後，服務不會自動轉為訂閱，亦不會自動扣款。商戶須主動選擇是否訂閱正式月費方案（HKD 298／月），並另行確認訂閱及付款授權；未完成訂閱者按第 5.3 條進入寬限期。
At the end of the two-month Founding Merchant Plan, the Service will not automatically convert to a subscription or make an automatic charge. The merchant must actively choose whether to subscribe to the regular monthly plan (HKD 298/month) and separately confirm the subscription and payment authorisation. Merchants who do not complete a subscription will enter the grace period under Clause 5.3.
4.4 付款及信用卡資料：HKD 99 一次性付款可使用 FPS、Visa 或 Mastercard，並由受規管的第三方支付服務供應商處理。Memberrr 不接收或保存完整信用卡號碼或信用卡驗證碼；HKD 99 所使用的付款方式不會被 Memberrr 設定為自動續費。商戶日後如主動訂閱正式方案，須另行確認付款安排。
Payment and card data: The one-off HKD 99 payment may be made by FPS, Visa or Mastercard and is processed by a regulated third-party payment service provider. Memberrr does not receive or store full card numbers or card verification codes, and the payment method used for HKD 99 will not be set by Memberrr for automatic renewal. If the merchant later chooses a regular subscription, the payment arrangement must be confirmed separately.
4.5 正式月費訂閱只會在商戶主動選擇方案並確認付款授權後開始。續費失敗或到期未付將按第 5.3 條處理。
A regular monthly subscription begins only after the merchant actively selects the plan and confirms payment authorisation. Failed or overdue renewal payments will be handled under Clause 5.3.
4.6 所有已繳費用概不退還，惟法律另有規定者除外。
All fees paid are non-refundable unless otherwise required by applicable law.
5.1 商戶取消：商戶可隨時提出取消申請，但須提前 14 個曆日以書面（電郵至 hello@memberrr.com）通知 Nomadivity。
Merchant cancellation: Merchants may cancel the Service at any time by providing 14 calendar days' written notice to Nomadivity by email at hello@memberrr.com.
5.2 服務終止流程：收到取消通知後，Nomadivity 將於通知期届滿後執行以下操作：
Termination process: Upon expiry of the notice period, Nomadivity will:
5.3 寬限期：創始商戶計劃兩個月屆滿但未完成正式訂閱，或正式訂閱續費失敗時，帳戶將進入十四（14）個曆日的唯讀寬限期。寬限期內，商戶仍可查看及匯出資料、更新付款安排；既有會員查詢頁維持可讀，但商戶不可新增或修改業務資料。寬限期屆滿仍未恢復訂閱，服務將暫停，會員查詢頁亦會停用；資料不會因此立即刪除，並按《私隱政策》的保留期處理。
Grace period: If the two-month Founding Merchant Plan ends without a regular subscription being completed, or if a regular subscription renewal fails, the account will enter a fourteen (14) calendar-day read-only grace period. During the grace period, the merchant may view and export data and update payment arrangements; existing member portals remain readable, but business data cannot be added or changed. If the subscription is not restored by the end of the grace period, the Service and member portals will be suspended. Data will not be deleted immediately and will be handled in accordance with the retention period in the Privacy Policy.
5.4 資料歸屬與匯出：服務終止前，商戶可隨時透過後台將全部會員資料匯出為 CSV，自行備份或轉移。服務終止後，除法律另有規定外，Nomadivity 將於《私隱政策》所述的保留期後刪除商戶的租戶資料。（自托管專屬版的資料則保留於商戶自有的 Google Drive，商戶可繼續自行存取及管理。）
Data ownership & export: Before termination, the merchant may at any time export all member data as CSV from the dashboard for their own backup or migration. Following termination, unless otherwise required by law, Nomadivity will delete the merchant's tenant data after the retention period stated in the Privacy Policy. (For the self-hosted edition, data remains in the merchant's own Google Drive, which the merchant may continue to access and manage.)
5.5 Nomadivity 終止權利：如商戶嚴重違反本條款，Nomadivity 保留立即終止服務的權利，毋需提前通知及退款。
Nomadivity's right to terminate: Nomadivity reserves the right to immediately terminate the Service without notice or refund in the event of material breach of these Terms by the merchant.
5.6 本服務無最低訂閱期限制。
There is no minimum subscription period for this Service.
6.1 商戶的會員資料（包括其客戶之個人資料）儲存於 Nomadivity 使用的 Cloudflare D1 雲端資料庫，並以租戶識別碼與其他商戶邏輯隔離。Nomadivity 在此架構下作為商戶的資料處理者（Data Processor），僅按商戶指示為提供服務而處理該等資料。
Member data (including the merchant's customers' personal data) is stored in the Cloudflare D1 cloud database operated by Nomadivity, logically isolated from other merchants by a tenant identifier. In this arrangement Nomadivity acts as a Data Processor, processing such data only on the merchant's instructions for the purpose of delivering the Service.
6.2 會員資料的處理及儲存位置、匯出、刪除及分包處理者（sub-processor）詳情，載於私隱政策。（如商戶選用自托管專屬版，Nomadivity 改以 Google 服務帳號（Service Account）技術存取商戶 Google Sheet，目的僅為執行服務功能。）
Details of the location of processing and storage, export, deletion, and sub-processors for member data are set out in our Privacy Policy. (Where a merchant opts for the self-hosted edition, Nomadivity instead accesses the merchant's Google Sheet using Google Service Account technology solely for the purpose of delivering the Service.)
6.3 商戶作為其客戶個人資料的資料使用者，須遵守香港《個人資料（私隱）條例》（第486章）的相關責任。
The merchant, as the data user of their customers' personal data, is responsible for complying with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong.
6.4 Nomadivity 對個人資料的收集及使用，詳見私隱政策。

7.1 Nomadivity 盡力維持服務的正常運作，但不保證服務持續可用、無中斷或無錯誤。
Nomadivity endeavours to maintain normal operation of the Service but does not guarantee continuous availability, uninterrupted access, or error-free operation.
7.2 本服務依賴 Cloudflare（包括 Cloudflare D1）及 Google 等第三方平台。上述平台的故障、中斷、政策變更或服務終止，可能影響 Memberrr 服務的可用性，Nomadivity 對此概不負責。
The Service relies on third-party platforms including Cloudflare (including Cloudflare D1) and Google. Nomadivity accepts no liability for any impact on the Service arising from failures, interruptions, policy changes, or termination of these third-party services.
7.3 Nomadivity 不對因使用或無法使用本服務而引起的任何直接、間接、附帶或相應損失承擔責任，包括但不限於業務損失、資料損失或收入損失。
Nomadivity shall not be liable for any direct, indirect, incidental, or consequential loss arising from the use of or inability to use the Service, including but not limited to loss of business, loss of data, or loss of revenue.
7.4 在任何情況下，Nomadivity 對商戶的總賠償責任不超過事件發生前三（3）個月商戶已繳付的服務費用總額。
In any event, Nomadivity's total liability to the merchant shall not exceed the total service fees paid by the merchant in the three (3) months preceding the relevant event.
8.1 商戶須確保其向 Memberrr 提供的資料（包括其客戶個人資料）的收集及使用符合相關法律法規，並已取得必要的同意。
Merchants must ensure that the collection and use of any data provided to Memberrr (including their customers' personal data) complies with applicable laws and regulations, and that all necessary consents have been obtained.
8.2 商戶不得將服務用於任何非法、欺詐或侵害他人權益的用途。
Merchants must not use the Service for any unlawful, fraudulent, or harmful purpose.
8.3 商戶須自行定期透過後台的 CSV 匯出功能備份其重要資料。Nomadivity 雖會就雲端資料進行合理的系統備份，但不擔保作為商戶唯一的備份方案。
Merchants are responsible for regularly backing up their important data via the dashboard's CSV export. While Nomadivity performs reasonable system-level backups of cloud data, it does not warrant this as the merchant's sole backup solution.
9.1 Memberrr 平台的軟件、設計、商標及相關知識產權均屬 Nomadivity Limited 所有。
All software, designs, trademarks, and related intellectual property of the Memberrr platform are owned by Nomadivity Limited.
9.2 商戶在訂閱期間獲授予使用本服務的有限、不可轉讓、非獨家許可，僅供其業務用途。
Merchants are granted a limited, non-transferable, non-exclusive licence to use the Service during the subscription period for their own business purposes only.
10.1 Nomadivity 保留隨時修改本條款的權利。重大修改將提前以電郵通知商戶。
Nomadivity reserves the right to amend these Terms at any time. Merchants will be notified of material changes by email in advance.
10.2 修改後繼續使用服務，即視為接受更新後的條款。
Continued use of the Service following any amendments constitutes acceptance of the updated Terms.
11.1 本條款受香港特別行政區法律管轄，並依據其詮釋。
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
11.2 因本條款引起的任何爭議，雙方應首先以友好協商方式解決。如協商未果，提交香港法院管轄。
Any dispute arising from these Terms shall first be resolved through amicable negotiation. If unresolved, the dispute shall be submitted to the jurisdiction of the courts of Hong Kong.
